1. Acceptance of Purchase Order
This Purchase Order (PO) constitutes the entire agreement between the buyer and seller. Any modification or alteration to this PO must be agreed upon in writing.
The seller's acceptance of this PO is deemed confirmed upon acknowledgment or by commencing fulfillment of the order.
Any terms or conditions proposed by the seller that conflict with this PO are rejected unless explicitly accepted in writing by the buyer.
2. Description of Goods and Services
The goods or services provided must conform to the specifications, quality, quantity, and description stated in this PO.
Any deviations from the specifications require prior written approval from the buyer.
3. Price and Payment Terms
The price listed in this PO is fixed and cannot be altered without the buyer's written consent.
Payment will be made according to the agreed terms Net 30 days upon receipt of a valid invoice and confirmation that goods/services meet the agreed-upon specifications.
The buyer reserves the right to withhold payment for any non-conforming goods or services until the issue is resolved.
4. Delivery Terms
Delivery Schedule: Goods/services must be delivered on or before the agreed-upon delivery date. Delays must be communicated in advance, and the buyer reserves the right to cancel the order for late delivery without penalty.
Shipping: All deliveries should be made to the specified delivery location, and the seller is responsible for ensuring proper packaging to prevent damage.
The seller is liable for any damage or loss occurring during transit until delivery is confirmed by the buyer.
5. Inspection and Acceptance
The buyer reserves the right to inspect all goods/services upon delivery. Any goods/services failing to meet specifications may be rejected and returned at the seller's expense.
The buyer may reject non-conforming goods even if payment has already been made.
6. Warranties
The seller warrants that all goods/services provided are free from defects in materials and workmanship and conform to the specifications stated in this PO.
The seller further warrants that the goods/services comply with all applicable laws, regulations, and industry standards.
7. Changes and Amendments
The buyer reserves the right to make changes to the quantity, specifications, delivery location, or delivery schedule. Any resulting adjustments to the price or delivery schedule must be agreed upon in writing.
8. Cancellations and Termination
The buyer reserves the right to cancel this PO, in whole or in part, at any time before delivery without penalty, provided the seller is notified in writing.
If the seller fails to comply with the terms of this PO, the buyer may terminate the agreement without liability and seek damages or remedies.
9. Force Majeure
Neither party shall be liable for delays or non-performance caused by events beyond their reasonable control (e.g., natural disasters, acts of war, government regulations). The affected party must notify the other party in writing as soon as possible.
10. Confidentiality
The seller agrees to keep all information regarding this PO confidential and not disclose it to any third party without the buyer's written consent.
11. Indemnification
The seller agrees to indemnify, defend, and hold the buyer harmless from any claims, damages, losses, or expenses arising from the seller's breach of this PO, negligence, or misconduct.
12. Compliance with Laws and Regulations
The seller must comply with all applicable laws, regulations, and industry standards, including but not limited to health, safety, environmental, and labor laws.
Any goods delivered must be accompanied by the necessary documentation, such as safety data sheets, certifications, and test reports.
13. Intellectual Property
Any intellectual property provided by the buyer remains the buyer's property and must not be used for any purpose other than fulfilling this PO.
The seller warrants that the goods/services provided do not infringe on any third-party intellectual property rights.
14. Insurance Requirements
The seller is required to maintain adequate insurance coverage, including liability, workers’ compensation, and product liability insurance. Proof of insurance must be provided upon request.
15. Dispute Resolution
Any disputes arising from this PO will be resolved through negotiation, mediation, or arbitration, as agreed upon by both parties.
The governing law and jurisdiction will be the location specified by the buyer.
16. Entire Agreement
This PO, including any attachments or referenced documents, constitutes the entire agreement between the buyer and seller. Any prior agreements or negotiations are superseded.
17. Severability
If any provision of this PO is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
18. Assignment
The seller may not assign or transfer any rights or obligations under this PO without the buyer's written consent.
